1. Acceptance of Terms
By accessing or using the iXentro website, applications, and services (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Service. iXentro ("we," "us," or "our") reserves the right to modify these Terms at any time. Your continued use of the Service after any such changes constitutes acceptance of the revised Terms.
2. Eligibility
You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service. You must have the legal capacity to enter into a binding agreement. By using the Service, you represent that you meet these requirements.
3. Account Registration and Security
To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as needed. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
4. Service Description
iXentro provides NFC business card and digital profile services. Our Service allows you to:
- Create and manage a cloud-based digital profile
- Share your profile via NFC tap or QR code
- Collect contacts from visitors (lead forms, save contact)
- View analytics on profile views and link clicks
- Add an optional shop to sell products (on applicable plans)
- Process orders and manage store operations (on shop plans)
We offer tiered plans including Cloud Profile, Profile + Shop, and Complete (with physical NFC cards). Features and availability may vary by plan and region.
5. Plans and Payment
Payment for plans is processed through our payment provider. By making a purchase, you agree to the payment processor's terms and policies. We offer one-time purchases for monthly, yearly, or lifetime access depending on the plan.
All fees are non-refundable except as required by law or as expressly stated in our refund policy. Refunds and disputes are handled in accordance with our payment processor's policies.
We reserve the right to change pricing at any time. Price changes will not affect plans already purchased.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Upload, post, or transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
- Impersonate any person or entity or misrepresent your affiliation
- Distribute malware, spam, or engage in phishing
- Interfere with or disrupt the Service or its infrastructure
- Attempt to gain unauthorized access to any part of the Service or other accounts
- Use the Service for any purpose that competes with or undermines iXentro
We reserve the right to suspend or terminate your account and remove content that violates these Terms or that we deem harmful to other users or the Service.
7. User Content
You retain ownership of content you upload to the Service ("User Content"). By uploading User Content, you grant iXentro a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute your User Content solely to provide and operate the Service.
You are solely responsible for your User Content. You represent that you have all rights necessary to grant the license above and that your User Content does not infringe any third-party rights.
We may remove User Content that violates these Terms or our policies. If you believe content on the Service infringes your copyright, please contact us at support@ixentro.com with details of the alleged infringement.
8. Intellectual Property
iXentro and its licensors own all rights in the Service, including the design, software, trademarks, and other intellectual property. These Terms do not grant you any rights to iXentro's intellectual property except the limited right to use the Service as permitted herein. You may not copy, modify, distribute, or create derivative works of the Service without our prior written consent.
9. Termination
You may terminate your account at any time by using the account deletion feature in Settings → Privacy & Data. Account deletion is permanent and removes your profile, orders, and associated data.
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including Sections 7, 8, 10, 11, 12, and 13.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IXENTRO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You agree to indemnify, defend, and hold harmless iXentro and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any third-party rights.
13. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
14. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service and may delete your account.
